These Affiliate Program Terms and Conditions ("Terms") constitute a legally binding agreement between:
Tourist eSIM and the Affiliate (You)
1. Purpose
These Terms govern the participation of the Affiliate in the Tourist eSIM Affiliate Program for the purpose of promoting Tourist eSIM products and referring end customers through approved tracking links, referral links, or discount codes.
The Affiliate agrees to promote Tourist eSIM services in a lawful, ethical, and professional manner in accordance with these Terms.
2. Affiliate Commissions and Payments
2.1 Commission Eligibility: The Affiliate shall earn a commission for each valid purchase completed by an End User who clicks an Affiliate Link or uses a valid Affiliate discount code and completes the purchase within the tracking window (normally up to 30 days).
2.2 Commission Rates: Commission rates are displayed in the Affiliate dashboard or communicated in writing by Tourist eSIM and may vary by product, region, or campaign.
2.3 Minimum Payout Threshold: Commissions are payable only once the Affiliate reaches the minimum payout threshold of USD 10 (or equivalent). If the threshold is not met within a given month, commissions will roll over to the next payment cycle.
2.4 Payment Review & Validation: All commissions remain provisional until reviewed and approved by Tourist eSIM. Tourist eSIM reserves the right to withhold, adjust, or reverse commissions for fraudulent, suspicious, or invalid transactions, refunds, chargebacks, cancellations, or violations of these Terms.
2.5 Taxes: All commissions are gross amounts. The Affiliate is solely responsible for declaring and paying any applicable taxes, VAT, or similar charges.
3. Prohibited Activities
No commission shall be paid for:
- Purchases not correctly tracked through Tourist eSIM's system
- Self-referrals or fraudulent transactions
- Bot traffic, cookie stuffing, or artificial inflation of sales
- Misleading, expired, or unauthorized coupon promotions
- Brand bidding on "Tourist eSIM" or confusingly similar keywords in paid ads
- Excessive refunds or cancellations at Tourist eSIM's discretion
4. Term and Renewal
These Terms enter into force upon digital acceptance by the Affiliate and remain valid for one (1) year. The agreement automatically renews for successive one-year periods unless either Party provides at least 30 days' written notice of non-renewal.
5. Content, Branding & Intellectual Property
Tourist eSIM grants the Affiliate a limited, non-exclusive, revocable license to use approved branding materials solely for promotional purposes under this Program.
The Affiliate may not:
- Alter Tourist eSIM logos or trademarks
- Register domains, social media accounts, or ads containing "Tourist eSIM" or similar variations
- Represent itself as Tourist eSIM or as an official agent
6. Affiliate Obligations
The Affiliate agrees to:
- Clearly disclose affiliate relationships to End Users
- Comply with all applicable advertising, consumer protection, and data protection laws
- Avoid misleading claims, false pricing, or misrepresentation
- Promptly remove content upon request if it harms Tourist eSIM's reputation
- Immediately notify Tourist eSIM of complaints or regulatory issues
7. Confidentiality
All non-public information disclosed by Tourist eSIM is confidential and may not be disclosed to third parties. Confidential information may only be used for performance under these Terms. Confidentiality obligations survive termination for 24 months unless otherwise required by law.
8. Liability and Indemnification
The Affiliate participates at its own risk and agrees to indemnify and hold harmless Tourist eSIM from legal claims, regulatory penalties, and third-party damages arising from the Affiliate's breach of these Terms.
Tourist eSIM shall not be liable for indirect, incidental, or consequential damages, including loss of profits.
9. Independent Relationship
Nothing in these Terms creates a partnership, employment relationship, or agency. The Affiliate acts as an independent contractor.
10. Termination
Either Party may terminate this Agreement with 30 days' written notice, with or without cause. Tourist eSIM may terminate immediately for fraud, policy violations, or brand misuse. Upon termination, unpaid commissions for invalid or fraudulent activity shall be forfeited.
11. Data Protection
Affiliate participation is subject to Tourist eSIM's Privacy Policy. Each Party agrees to comply with applicable data protection laws, including GDPR where applicable.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
13. Acceptance
By registering for or participating in the Tourist eSIM Affiliate Program, you confirm that you have read, understood, and agreed to these Terms and Conditions.
